Guardian Protection Services, Inc., a Pennsylvania corporation, with offices located at 174 Thorn Hill Road, Warrendale, Pennsylvania (the “Company“), wants to use and publicize the name, likeness, and other personal characteristics and private information of the individual(s) named below (“I” or “me“), with a residence at the address listed below, for promotional and other business purposes. In exchange for the intangible value I will gain by participating in Company’s publicity programs and other good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, and intending to be legally bound, I give Company my permission for such use, according to the terms of this Publicity Waiver and Release (“Agreement“).
I authorize, grant, and license Company and its agents, affiliates, successors, and assigns (collectively, “Authorized Persons“) the perpetual rights to, in their sole discretion, display, transmit, broadcast, reproduce, record, photograph, digitize, modify, or otherwise use my name, image, likeness, appearance, voice, professional and personal biographical information, and all materials created by or on behalf of Company that incorporate any of the foregoing (collectively, “Materials“), throughout the world in any present or future format for any Company purpose, without further consent or compensation.
Company shall be the exclusive owner of all rights, including copyright, in the Materials, and I transfer, assign, and otherwise convey to Company my entire right, title, and interest, if any, in and to the Materials. Company need not get my approval before Materials are used or provide acknowledgement or credit to me, Company has no liability to me for such use or any reasonable editing or alteration of the Materials, and I shall not make or bring any legal claim against any Authorized Persons for the foregoing.
This Agreement constitutes the entire agreement of the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties in any form with respect to such subject matter. If any term of this Agreement is invalid or unenforceable in any jurisdiction, such issue will not affect any other term. Company may assign this Agreement and its rights hereunder, in whole or in part. All matters arising from or relating to this Agreement shall be governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania, without giving effect to any choice or conflict of law provision or rule, and any claim arising from or relating to this Agreement shall be brought in the federal or state courts located in Allegheny County, Pennsylvania.
I represent and warrant to Company that I am at least eighteen (18) years of age, I understand this Agreement, and I have full right, power, and authority to enter into it and grant the rights hereunder. If I am signing this on behalf of a minor listed below, I represent that I am the minor’s parent or legal guardian and agree that the minor and I are bound by the Agreement’s terms.
